Terms of Service

1. Acceptance of Terms

By accessing or using the services of Option Pay India (“we,” “our,” or “us”), including
payment gateway services, digital wallet solutions, money transfers, merchant acquiring,
and B2B/B2C payment services (collectively, “Services”), you (“User,” “Customer,” or
“Merchant”) agree to comply with and be bound by these Terms & Conditions. If you do
not agree, you must discontinue use immediately.

2. Eligibility

You represent and warrant that you are at least 18 years of age, legally competent, and
authorized to enter into this agreement. For corporate or merchant accounts, you
further represent that you have the authority to bind the entity you represent.

3. Services Provided

Option Pay India provides payment gateway solutions, wallet services, money transfers,
merchant acquiring, and B2B/B2C services. Services may expand to include lending or
credit-related services, subject to applicable regulatory approvals.

4. User Obligations

You agree to:
- Provide accurate and up-to-date information.
- Maintain the confidentiality of login credentials.
- Use the Services only for lawful purposes.
- Comply with all applicable laws and RBI regulations.
- Avoid fraudulent, abusive, or unauthorized transactions.

5. Data Collection & Privacy

We collect personal, financial, biometric, and location data in accordance with our
Privacy Policy. By using our Services, you consent to such collection, storage, and use for
the purposes of verification, fraud prevention, and compliance.

6. Fees & Charges

Fees applicable to transactions, services, or subscriptions will be communicated
transparently. You authorize us to deduct such fees from your transactions or linked
accounts as applicable. Users are advised to exercise due care and diligence while
making any payment for the Services.
All payments made for products or Services are final and non-refundable,
irrespective of whether the User subsequently avails or utilizes the product or
Service. No refunds, chargebacks, or reversals shall be entertained under any
circumstances, except where expressly required by applicable law.

7. Intellectual Property

All content, trademarks, software, and technology related to our Services remain the
exclusive property of Option Pay India. You are granted a limited, non-transferable
license to use the Services solely for your personal or business needs.

8. Prohibited Activities

Users shall not:
- Engage in money laundering, terrorism financing, or fraudulent activities.
- Attempt unauthorized access to our systems.
- Use Services for unlawful or restricted goods/services.
- Breach intellectual property rights of others.

9. Limitation of Liability

To the maximum extent permitted by law, Option Pay India shall not be liable for
indirect, incidental, special, or consequential damages arising from the use or inability to
use our Services. Our aggregate liability shall not exceed the total fees paid by you within
the three months preceding the claim.

10. Suspension & Termination

We reserve the right to suspend or terminate access to Services if:
- You breach these Terms.

- Regulatory or legal obligations require it.
- Fraudulent or suspicious activity is detected.

11. Compliance with Law

Option Pay India is regulated by the Reserve Bank of India (RBI) as a Payment System
Operator. Users must comply with all RBI guidelines, anti-money laundering (AML), and
know-your-customer (KYC) requirements.

12. Indemnification

You agree to indemnify and hold harmless Option Pay India, its affiliates, officers, and
employees from any claims, losses, liabilities, or expenses arising out of your use of the
Services or violation of these Terms.

13. Dispute Resolution

Disputes shall first be attempted to be resolved amicably. If unresolved, disputes shall be
subject to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
The seat and venue of arbitration shall be [Ghaziabad, India]. Courts of [Ghaziabad,
India] shall have exclusive jurisdiction.

14. Amendments

We may update these Terms from time to time. Users will be notified of significant
changes via email, website notifications, or application alerts. Continued use of Services
constitutes acceptance of updated Terms.
